LLC vs sole proprietorship in Dubai comes down to liability: an LLC limits yours to its share capital, while a sole proprietorship, DET's sole establishment, has no separate legal personality and leaves you personally liable for every debt. One person can own an LLC alone. The right one depends on who owns the business and who it sells to.
Which is better, a sole proprietorship or an LLC?
Choose an LLC for a business that will hire or take partners. A sole establishment suits one professional who wants the lightest licence and is content for the business and its owner to be one.
| LLC | Sole establishment | |
|---|---|---|
| Legal personality and liability | Separate; partners liable only to their share of the capital | None; the owner is personally liable |
| Owners | One person alone, or 2 to 50 partners | One natural person |
| Foreign ownership | Full foreign ownership in activities open to it, no sponsor | The owner trades under the licence in their own name |
| Share capital | No fixed minimum; the partners declare what is adequate | Not applicable |
| Statutory reserve | 5% of net profit a year, until the reserve reaches half the capital | None |
| Corporate tax | The company: 0% to AED 375,000, 9% above | The owner, as a natural person, once business turnover passes AED 1 million in a year |
| Changing later | Closes through a licensed liquidator | Converts into an LLC through DET without closing |
Visas and the bank follow the structure. Both are agreed on the call with the activity wording.
What is an LLC in the UAE?
A limited liability company is the mainland form most founders use. It has its own legal personality and a DET licence in Dubai. One person can own it, or two to fifty partners, each liable only up to their share of the capital. The Commercial Companies Law lists it beside the partnerships and the joint stock companies, and the form must match the activity. Free zones register their own LLC, FZ Co. and FZE forms, which is the mainland or free zone question, answered before this one.
What is the benefit of an LLC in the UAE?
Your personal assets sit outside the business, because liability stops at the share capital. The company signs contracts in its own name and holds the licence, so it outlives a change of owner. It also grows without changing form. Partners can join up to fifty, and in an activity open to full foreign ownership no Emirati shareholder or sponsor is needed.
Can one person own an LLC in Dubai?
Yes. Since 2 January 2022 one natural or legal person may own a Dubai LLC alone, with the same liability shield as a company of several partners. Outgrown a sole establishment? It converts into an LLC through DET, and the business keeps trading. The timing is in changing structure later.
