Is a UAE company really tax-free?

Mostly. And the word mostly is where founders get caught.

The penalties rarely come from the tax. They come from the assumptions: a registration missed, a filing skipped, a free zone 0% relied on without the conditions to hold it. Here is the honest shape of UAE tax, before anyone quotes you a slogan.

The reframe

The myth is the expensive part.

Doubting the slogan is the right instinct. The UAE was called tax-free for years, then a federal corporate tax arrived in 2023. The slogan is not a lie, which is what makes it dangerous. Founders who take it literally rarely ignore a tax bill. They miss a registration, a filing, or a free zone condition they assumed was automatic, and the penalty arrives for the obligation, not the tax. The number is rarely the problem. The assumption underneath it is.

What tax-free hides

Three taxes, three different rules.

Light does not mean absent. The UAE asks little, but precisely, and these three questions are unrelated.

Corporate tax

9% on taxable profit above AED 375,000 in a financial year, and 0% at or below that line. The threshold is generous: a modest business may owe nothing, a profitable one pays only on the portion above it. The catch: the duty to register and file can apply even when the tax due is zero.

VAT

A separate 5% tax on supplies, with its own threshold and registration rule. One taxes profit, the other taxes turnover. A business can owe VAT while owing no corporate tax, and the reverse, which is where most confusion starts.

Free zone 0%

The most repeated myth is that a free zone company is automatically tax-free. It is not. The 0% rate is real, but it belongs to a Qualifying Free Zone Person, a status earned and kept, not granted by incorporating. Miss the conditions and income is taxed at 9%.

The one line everything turns on

Corporate tax has a hinge, not a flat rate.

AED 375,000 of annual profit is the line set in law, the same for everyone. Below it, 0%. Above it, only the portion above is taxed at 9%, never your whole profit. The line tells you the shape of the system, not your position in it.

VAT is a separate question entirely: 5% on taxable supplies, with its own threshold and registration rule.

One real relief, often misread: Small Business Relief lets an eligible resident business with revenue up to AED 3,000,000 elect to be treated as having no taxable income, for periods ending on or before 31 December 2026. It is an election, not an automatic exemption, it is temporary, and the registration and filing duties remain. Whether to elect it, and whether you qualify, is a judgement on your actual figures.

Where the cost actually lands

No founder is fined for the tax they planned for. They are fined for the obligation they assumed away.

What it costs

A penalty for the process. Registration and filing can be due in a zero-tax year, and the fine does not care that your bill was nil.
Income reverts to 9%. Lean on free zone 0% without the substance to hold it, and the relief falls away.
A VAT line missed from day one. Unrelated taxes: one can apply while the other does not.

So is a UAE company tax-free or not?

It is one of the lightest tax environments a business can operate in, and it is not nothing. There is no personal income tax on salaries. Corporate tax is 0% on taxable profit at or below AED 375,000 and 9% above it. A free zone company can reach 0% on qualifying income, but only as a Qualifying Free Zone Person that satisfies every condition. The word tax-free is true enough to be dangerous, because it hides the obligations behind it.

Do I still have to do anything if I owe no tax?

Yes. Owing zero is not the same as having nothing to do. A UAE company can be required to register for corporate tax, file a return, keep proper records, and in some cases meet VAT and substance obligations, even in a nil-tax year. The penalties for missing those steps do not care that your bill was zero. Where your business lands is what we work out with you privately.

Will my free zone company definitely get the 0% rate?

Not automatically. Incorporating in a free zone does not grant the 0% rate. It depends on qualifying as a Qualifying Free Zone Person and keeping that status, which turns on substance, the income you earn, audited accounts, and how related-party transactions are priced. These are case-specific judgements, not a checkbox, and getting one wrong moves income to 9%. We assess whether 0% is realistic for your business before you rely on it.
